User Agreement
Roots Music Report welcomes you to their site and services.  This site is owned or managed by Roots Music Report (www.rootsmusicreport.com) and is part of Electra Graphix, which also includes Radio Submit (www.radiosubmit.com).
 
Roots Music Report provides these websites, charts, newsletter, and related services for your personal use only.  The sites and services were designed to assist artists, publicists, record labels, radio stations, and the general public.  Please read this Agreement carefully before using Roots Music Report’s website or Radio Submit’s website.  Your use of Roots Music Report’s website or Radio Submit’s website constitutes your acceptance to be bound to this Agreement without limitation, qualification, or change.  Please immediately discontinue your use of Roots Music Report and its services if at any time you do not agree to accept the terms and conditions of this Agreement.
 
Roots Music Report reserves the right to immediately terminate your access to Roots Music Report or Radio Submit’s website if you use the website for any purpose that is unlawful or breaks the guidelines set by this Agreement.  We also reserve the right to terminate your access with or without notification if you violate the Agreement.
 
While Roots Music Report is intended for all viewers, some parts of Roots Music Report’s website or Radio Submit’s website may contain adult content intended for people you are 18 years of age.  Roots Music Report and Radio Submit are not responsible for the content of news or articles posted on their respective websites.  By viewing any adult content on either website, you are representing that you are at least 18 years of age and that the content is acceptable to you. 

Agreement Changes
This Agreement is effective as of January 19, 2006.  Roots Music Report reserves the right to change, alter, or modify this Agreement at any time.  Roots Music Report will attempt to notify users of any changes made to this document; however, users should periodically read this Agreement to check for changes or modifications.  If at any time you do not agree to the terms of this Agreement you must discontinue your use of Roots Music Report’s website and Radio Submit’s website. 

Purpose for Use of Radio Submit and Roots Music Report
Roots Music Report and Radio Submit were created to assist musicians, new and previously established, record labels and their affiliates, radio stations and their affiliates, song writers, and the general public.  Roots Music Report is only a resource, and it does not claim responsibility for the promotion of any artist, label, radio station, or members of the general public.  Radio Submit is also only a resource.  By uploading songs to the Radio Submit database, the artist or label is acknowledging they understand that Radio Submit or Roots Music Report is not responsible for the promotion of the user’s music.  Promotion is the responsibility for the artist, record labels, and other associated parties.  Radio Submit and Roots Music Report do not guarantee the user’s music will be downloaded for play by any radio stations. 
 
As a radio station or a radio station affiliate, you agree to only download music for the purpose of playing on your radio station.  It is illegal to download any music from Radio Submit for personal use without previous permission from the artists themselves.   
 
Users of Roots Music Report also acknowledge and accept that as part of the services offered by Roots Music Report they will receive communications, service announcements and updates, administrative messages, and newsletters. 

Member Conduct
Account holders of Radio Submit receive access to a personal “Mini-website” where the user is able to upload songs, pictures, personal information, press releases, and other information or materials.  By signing up for an account, the user acknowledges that they understand that all information, text, music, sound, photographs, graphics, video, messages, tags, or other materials (Content), whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. This means that the user, and not Roots Music Report, is entirely responsible for all Content that the user uploads, posts, emails, transmits or otherwise make available.  Account holders and users agree to not post anything illegal on their “Mini-websites” and also understand that Roots Music Report reserves the right to terminate the account if such activity is found or suspected.
 
Roots Music Report accepts articles, promotional information, photographic images, graphics, press releases and other forms of submissions for display on the Roots Music Report website and Radio Submit website.  By submitting such Content to Roots Music Report, the user and submitter is acknowledging  they understand that all information, text, music, sound, photographs, graphics, video, messages, tags, or other materials, whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated.  Roots Music Report or Radio Submit is not responsible for such Content. 
 
Users also acknowledge that Roots Music Report reserves the right to screen or not screen Content.  Users also understand that Roots Music Report may screen, edit, or refuse any Content that is sent to them, whether the purpose of the information be for the websites, the newsletter, or other services offered by Roots Music Report; however, the user still acknowledges that Roots Music Report does not claim to own or endorse any information or Content that is submitted to the Services offered by Roots Music Report.

Submissions
Roots Music Report and Radio Submit are constantly receiving submissions for inclusion on the website, in the newsletter, and other places.  Roots Music Report will accept these submissions for use.  By submitting such information, the user is agreeing to let Roots Music Report use the material free of charge, unless another arrangement is made, as in the case of advertising or promotional contracts.  Submissions are subject to be used worldwide and at the discretion of Roots Music Report.  Users give Roots Music Report the right to use, modify, copy, distribute, transmit, publicly display, publish, adapt, or sell any such content, for any purpose, including commercial purposes, without any payment to you, in any type of media or in any form now known or later developed. In addition, users automatically waive and give up any claim that any use of such content violates any of the users’ rights, including privacy rights, publicity rights, moral rights or any other right, including the right to approve the way Roots Music Report uses such content. 

No Resale of Service
Users of Roots Music Report and Radio Submit agree to not reproduce, duplicate, sell, copy, trade, or exploit any of the Services offered by Roots Music Report for personal commercial and non-commercial use without written or expressed consent of Roots Music Report.  Newsletter made be used in press-kits for artists and distributed by record labels and radio stations.  Users agree to not sell, trade, or exploit any newsletters without the written permission of Roots Music Report.  Users also agree to not alter or change information in the newsletter without written permission of Roots Music Report.   

Privacy and Protection of Personal Information
Roots Music Report wants its user to feel comfortable and secure when using the websites and associated services.  One of Roots Music Report main priorities is protecting its user private, personal information.  Roots Music Report and Radio Submit agree to not sell personal information of the website users.  To learn more about Roots Music Report’s practices relating to the collection, disclosure, and use of Personal Information please read the following privacy information

Collection of Information
Users agree to the following conditions regarding information collection by using the site and services offered.  Roots Music Report general refrains from collecting personal information but in some instances it is necessary for collection to occur.  When setting up an account on either Roots Music Report or Radio Submit’s websites, users will be required to provide basic information.  This information will not be sold for commercial purposes and is solely necessary for the account.
 
Occasionally Roots Music Report will also gain personal information from emails or other form of correspondences, such as telephone calls, letter mail, or in-person meetings.  Information collected during these encounters is utilized only for the services they are intended for. 
 
Overall, information is collected to keep account information up to date, to allow Roots Music Report to be able to contact the users, to maintain accurate customer files, and allow the distribution of Roots Music Report services, such as newsletters, press releases, updates, and other information.

Information Use
Roots Music Report will not sell, trade, rent or share your personal information to organizations outside Roots Music Report and its affiliate companies unless required to do so by law or government proceedings. 
 
Roots Music Report does reserve the right to use your voluntary information for promotional, marketing, or communication purposes. 
 
User information may also be forwarded or emailed to other employees and affiliates of Roots Music Report to better help serve the users’ needs.  Roots Music Report does not share this type of information with outside organizations without the expressed consent of the user. 
 
To help protect users of Radio Submit and Roots Music Report, certain information is collected and saved when users enter either site.  This information also helps our software programs to create summary statistics to better assess how the site can help a particular user.  The information collected includes:
 ·        The domain name from which the user   is accessing the Internet from
·        The date and time the user accessed the website
·        The pages and files the user accessed
·        The Internet address from the website used to link to our site

Accounts, Security, and Passwords
Some portions of Roots Music Report’s and Radio Submit’s websites require users to set-up an account.  When setting up the account, users agree to provide the most current, complete, and accurate information to their knowledge.  Users also agree to keep their passwords protected and confidential.  If you provide any information that is untrue, inaccurate, not current or incomplete, or Roots Music Report has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Roots Music Report reserves the right to suspend or terminate your Account and refuse any and all current or future use of the Service without any liability or responsibility on the part of Roots Music Report for said suspension, termination or refusal to allow use of the service.  In addition, users agree full responsibility to all actions and activities that occur under the account.  The user also agrees to immediately notify Roots Music Report of any unauthorized account access.  Roots Music Report and Radio Submit are not liable for any loss users may incur by someone accessing the account using the current user password and log-in, whether the activity was known or authorized by the user. 
 
Roots Music Report also reserves the right to modify or terminate any accounts at any time.  In the event that an account is terminated, the user forfeits their right to access the account.  Terminated users are still bound to the terms of this agreement.
 
Accounts may not be held by people under the age of 18.  By signing up for an account you are acknowledging that you are at least 18 years of age, able to form a legally binding contract, and are not legally restricted from opening an account with us. 

Fees
Currently access to the charts provided by Roots Music Report is free of charge.  This is subject to change and Roots Music Report reserves the right to do so.  Access to the database is $50 per month, and Roots Music Report reserves the right to change this policy and access or use of these websites before such a change should occur does not entitle you to use of free of charge. 

Cancellation of Account
To cancel your account for the Roots Music Report airplay tracking database, RMR must receive an email at cancel@rootsmusicreport.com   with "Cancel my account" in the subject line no later than 24 hours before billing due date.

Disclaimer of Warranty
Your use and reliance of any information found on either Roots Music Report or Radio Submit’s website is at your own risk.  All content, including software, products, services, information, text, and related graphics contained on either website are provided on an “as-is” “as available” basis.  Roots Music Report makes no representations or warranties of any kind, either express or implied, as to the operation of this website or the information, content, or materials included on the websites.  Roots Music Report does not warrant or make any representations that these websites will operate error-free or uninterrupted, that will defects will be corrected, or that these websites will be free of viruses or other harmful components.  Furthermore, Roots Music Report is not responsible failures due to server errors, misdirected or redirected transmissions, failed internet connections, interruptions in services or orders made, or any computer or technical viruses, whether caused by humans or technical nature.

Links
Roots Music Report and Radio Submit’s website contain links to third-party websites and information.  Roots Music Report does not claim, and can not be held accountable or responsible for, information found on these linked sites. Roots Music Report does not ensure the accuracy, completeness, timeliness, reliability, or availability of any content displayed, uploaded, or distributed by the third-party sites.  Third-party sites may also offer services or products for purchase on their sites, Roots Music Report is not responsible for any purchases, payments, warranties, guarantees, deliveries, maintenance, or other matters relating to the merchandise, services, or information purchased from such sites.  Roots Music Report does not endorse, represent, or recommend the information found on linked third-party sites.  Users enter these sites at their own risk.

Subscription Services
Roots Music Report and Radio Submit may offer services requiring subscriptions to them.  Subscribing to such services shows an acceptance to be bound to the terms of this Agreement.  Roots Music Report currently offers a subscription to the RMR Express newsletter.  Currently, the RMR Express is available free of charge; however, Roots Music Report retains the right to change this policy at any time.  Subscription to the RMR Express before such changes occur does not make subscribers exempt from charges.  Users will be notified of any changes in price ahead of time.

Limitations on Liability
Roots Music Report, its subsidiaries, affiliates, distributors, suppliers, licensors, agents or others involved in creating, sponsoring, promoting, or otherwise making the Roots Music Report and Radio Submit websites available and its contents will not be held liable by any person or entity whatsoever, including but not limited to: (i) loss of goodwill, profits, business interruption, data or other intangible losses; (ii) your inability to use, unauthorized use of, performance or non-performance of the Roots Music Report websites; (iii) unauthorized access to or tampering with your personal information or transmissions; (iv) the provision or failure to provide any service; (v) errors or inaccuracies contained in the Roots Music Report Website or any information, software, products, services, and related graphics obtained through the Roots Music Report website; (v) errors or inaccuracies contained on the Roots Music Report Website or any information, software, products, services, and related graphics obtained through the Roots Music Report website; (vi) any transactions entered into through this Roots Music Report website; (vii) any property damage including damage to your computer or computer system caused by viruses or other harmful components, during or on account of access to or use of this  or any site to which it provides hyperlinks; or (viii) damages otherwise arising out of the use of the Roots Music Report. The limitations of liability shall apply regardless of the form of action, whether based on contract, tort, negligence, strict liability or otherwise, even if Roots Music Report has been advised of the possibility of damages.

Agency
No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

International Use
Many of the users for both Roots Music Report and Radio Submit’s websites are located outside of the United States.  Roots Music Report does not provide any guarantees that accessing this website is legal in the users’ country.  Roots Music Report does not claim, and will not be held responsible or accountable, that information found on its site are appropriate or available for use in locations outside of the United States.  Users are also responsible for following laws in their country regarding the downloading services found on Roots Music Report or Radio Submit.  Users claim their own responsibilities for accessing Roots Music Report sites and are doing so at their own risk.
